1. Acceptance of Terms

By downloading, installing, accessing, or using the NeverType application (the "Software") or accessing the NeverType website at nevertype.pro (the "Site"), you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to all terms and conditions stated herein, you must not download, install, or use the Software or Site.

2. Software License & Device Usage

Subject to your compliance with these Terms and payment of applicable fees:

• License Grant: NeverType grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and run NeverType on compatible desktop operating systems (macOS, Windows, Linux).
• Device Allowance: Each standard license or subscription entitles you to activate the Software on up to three (3) personal desktop or laptop devices concurrently for your own direct use.
• Device Management: If you upgrade your computer or switch devices, you may deactivate unused machines at any time via your NeverType user dashboard at nevertype.pro/dashboard.
• License Key Sharing Prohibited: You agree not to distribute, publish, resell, lease, or publicly share your NeverType license key. We reserve the right to revoke keys that exhibit abusive or distributed activation patterns.

3. Free Trial, Subscriptions & Billing

NeverType offers flexible billing tiers including monthly plans, annual plans, and lifetime access deals:

• 30-Day Free Trial: All new subscriptions may be eligible for a 30-day free trial period. You will not be charged if you cancel your subscription before the trial period expires.
• Merchant of Record: All orders, recurring subscriptions, invoice generation, tax handling, and currency conversions are processed through our authorized reseller and merchant of record, Dodo Payments.
• Automatic Renewal: Monthly and annual subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date. You can cancel your subscription at any time directly through your account dashboard or billing portal link.
• Cancellation: Upon cancellation, your license remains active until the end of your prepaid billing period, after which it will not renew.

5. Intellectual Property & Open Source

The NeverType name, brand identity, logo, UI designs, and proprietary orchestration software are the exclusive intellectual property of NeverType.

NeverType incorporates and links with certain third-party open-source libraries, including GGML/whisper.cpp and Tauri, which are licensed under their respective MIT or Apache licenses. Nothing in these Terms restricts your rights under applicable open-source licenses regarding those specific underlying components.

6. Acceptable Use Policy

You agree that you will NOT:

• Use NeverType for any unlawful purpose or in violation of applicable laws.
• Bypass, disable, or tamper with the software license verification mechanisms.
• Distribute malware, Trojans, or unauthorized modifications of the software.
• Attempt to scrape, overload, or compromise NeverType web APIs or servers.

7. Disclaimer of Warranties

Provided "As Is"

The Software and Site are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy of transcription, or non-infringement.

Speech recognition accuracy depends on audio quality, background noise, microphone hardware, accents, and local model capabilities. NeverType does not warrant that transcription will be 100% error-free or uninterrupted.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall NeverType, its founders, affiliates, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, goodwill, or business interruption) arising out of or related to your use of or inability to use the Software.

In all circumstances, NeverType's total aggregate liability arising out of or related to these Terms shall not exceed the total amount actually paid by you to NeverType during the twelve (12) months preceding the claim.

9. Termination

We reserve the right to suspend or terminate your access to the Software or account if you materially breach these Terms or engage in fraudulent payment activity. Upon termination, your right to use the Software ceases immediately.
